Site Terms Of Use

1. Purpose

1.1 Olalang provides  a Site and a Mobile Application that enables users to find and book online language Classes with native speakers.

1.2 These terms of use together with the documents referred to in them set out the terms and conditions governing the use (whether as a guest or a registered user) of the Site and the Mobile Application. In these terms of use  the words “We”, “us” and “our” mean Olalang and “you” and “your” refer to the User.

1.3 By using the Site and/or the Mobile Application you signify that you have read, understand and agree to be bound by these terms of use. If you do not agree to abide by these terms of use  you should neither use the Site nor the Mobile Application.

1.4 Our Privacy Policy [See 4. Protection and Usage of Information below], which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using the Site and/or Mobile Application , you consent to such processing and you warrant that all data provided by you is accurate.

2. Olalang Responsibilities

2.1 We have built and will maintain the Site and Mobile Application and maintain a [99%] uptime of the online tools. Insofar as practicable we will endeavour to  warn of any planned maintenance and down time in advance.

2.2 We will invest in tools and services to help Users and Teachers use the Site.

2.3 We will operate a service team and feedback centre, both electronic (via email and on Site messages) and over the telephone.

2.4 We will make reasonable endeavours to verify the accuracy of Site content, including the identity of Teachers and references and qualifications of Teachers however we give no warranty as to the accuracy of such matters and in particular those that are downloaded onto the Site as a result of the actions of third parties including Teachers.

2.5 We will use reasonable endeavours to maintain the Site free from viruses or worms but due to the nature of the Internet cannot guarantee this. Users are responsible for having their own Internet security settings in place.

3. Terms and Conditions of Usage

3.1.Users’ Responsibilities

3.1.1 You must be 18 years old or over.

3.1.2 You must exercise your own judgment when assessing Site information and the suitability of a Teacher to work with. Due to the number of sources and downloading by third parties of information onto the Site, none of the content on the Site can be guaranteed to be complete, accurate or up-to-date. You should therefore not rely on any content on the Site as constituting advice, recommendation or endorsement by us but need to ensure you take the necessary steps to verify matters independently.

3.1.3 You are responsible for your own online security and technical compatibility with the Site and the Mobile Application.

3.1.4 You must report by email any offensive, intrusive, illegal or defamatory material you find on the Site and the Mobile Application.

3.1.5 The Site is to be used only for personal purposes in the case of Students to identify Teachers for your personal benefit and/ or the benefit of your immediate family members, or in the case of Teachers for you to sell educational services as a Teacher to Users registered as Students. Any use of the Site or the Mobile Application for commercial purposes outside this or to induce other Users to leave the services available under the Site or to cut out the use of Olalang, the Site and the Mobile Application is prohibited. Without prejudice to any other remedy Olalang may have against the Teacher or Student any breach or suspected breach of this clause may result in the denial of access to the Site and Mobile Application and the services available thereunder.

3.1.6 Without prejudice to any other remedy Olalang may have against the Teacher or Student a User who is deemed to be in breach of 3.1.5 above  may be denied access to the Site and Mobile Application, be put on a shared blacklist and a note may be added to their profile stating the breach.

3.2.Registration: General

3.2.1 Certain functions of the Site are only available to Registered Users.

3.2.2 You may register as a Registered User giving your name, gender, birthdate, country of residence, city of residence, timezone, contact email, preferred video call service, and phone number and specifying a password.

3.2.3 You must use your real name and must keep your password secret.

3.2.4 We reserve the right to decline to register any person as a Registered User.

3.2.5 You must be the sole user of your account and when you log in and give your password we will assume you are the person giving us instructions.

3.2.6 If you believe your password has been compromised you must let us know at once. You will be liable for the instructions and transactions in your name unless and until you have notified us that your password has been compromised.

3.3 Registration as a Student

3.3.1 In order to become a Student, the User will register on the Site or the Mobile Application and purchase a Student Pack.

3.3.2 Students will be required to complete their profile information including but not restricted to: name, gender, birth date, profile picture, native languages spoken, location and preferred contact method.

3.3.3 By purchasing a Student Pack, the Student commits to take four Classes over a maximum period of sixty days.

3.4 Registration as a Teacher

3.4.1 In order to become a Teacher, the User will register on the Site or the Mobile Application and take a Teacher Pack.

3.4.2 Teachers will be required to complete their profile information including but not restricted to: name, gender, birth date, profile picture, native languages spoken, location and preferred contact method.

3.4.3 A member of the Olalang team will then contact the User and submit to the User  a Teacher questionnaire to complete and submit. If the User matches the required criteria, the Olalang team will confirm his/her admission as a Teacher.

3.4.4 Teachers will be required to list on the Site and the Mobile Application  their available days and hours to teach  via their personal calendar.

3.4.5 By taking a Teacher Pack, the Teacher commits to give four Classes over a maximum period of sixty days.

3.5 Variation

3.5.1 We may restrict the number of profiles a user may view and /or the number of booking requests a User may send, within certain periods at our sole discretion.

3.5.2 We can monitor, edit and remove User information at any point and without notice.

3.5.3 We can suspend or terminate any User and block certain IP addresses to protect our service, at any time and without giving notice or reasons.

3.5.4 We can vary the Site features and terms at any point and without notice.

3.5.5 Any changes in these terms of use will be posted online and a summary of changes will be included in the change history section at the end of the document.

We will endeavour to notify Users who are registered as Students or Teachers by email 30 days before the changes take effect.

4. Protection and Usage of Information

4.1.Privacy

4.1.1 We will keep your personal information confidential and only give it to others:

if you ask us to or give your permission for us to

if we have to by law, or the law allows it and it is in the public interest

4.1.2 We as Data Controller may use your information for statistical analysis, to develop and improve our products, to update our records, to identify products which might interest you, to keep you informed about your account and to conduct market research.

4.1.3 Olalang will not sell your email address or use it for a commercial purpose outside of these terms of use.

4.1.4 We record all requests for web pages or forms from the Site, including the date and time and the IP address or the User. This information is used to analyse traffic, and investigate use and abuse of the Site.

4.1.5 We may also store information about you using cookies. When you visit the Site we send these to your personal computer or other access device. They allow the Site to keep track of your logged-in status, number of visits to a certain page etc. You can delete these cookies, but this will result in your having to re-enter data.

4.1.6 We do not handle or store customer payment card details and are not PCI compliant.

4.2.Intellectual Property Rights

4.2.1 The Olalang name and logo is the property of Olalang Ltd and may not be copied or distributed without our prior written consent.

4.2.2 We are the owner or the licensee of all intellectual property rights in our site and on the Olalang Blackboards, and in the material published on it and on the Olalang Blackboards.  Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

4.2.3 Users may not print off copies or download extracts, of any page(s) from our site or from Olalang Blackboards for personal use.

4.2.4 If you print off, copy or download any part of our site or Olalang Blackboards in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

4.2.5 You must not use any part of the content on our site or the Olalang Blackboards for commercial purposes without obtaining a licence to do so from us or our licensors.

5. Liabilities

5.1 Olalang is liable only for foreseeable loss or damage arising directly out of our own breaches of these terms of use,our terms of booking, our  negligence or wilful misconduct up to a maximum of the amount of any fees you have paid to us in the 12 months immediately preceding the date on which your cause of action, if any, arose.

5.2 We shall not be liable for any loss or damage arising from either any error or inaccuracy in statements made on the Site by you or any other User, by any Student or Teacher about themselves (including any details of qualifications posted by them)  or any negligence, breach of contract, misrepresentation or wilful misconduct connected to the use of the Site or the sale of educational services by any User.

5.3 We shall not be liable for any indirect, special or consequential loss or damage arising out of or in consequence of lost data, lost profits, damage to goodwill or business interruption, any delay or failure to perform our own obligations under this policy due to circumstances beyond our own reasonable control.

5.4 We shall not be liable for any copyright claim regarding the content used by the Teacher during the Class .

5.5 Teachers are not employees of Olalang and are responsible for their own conduct and behaviour both on and off the Site and Mobile Application.

5.6 Under no circumstances will a Student pay or Teacher accept money from a Student in exchange for the Teacher teaching a Student whether as a result of Classes booked on the Site or otherwise.

5.7 Any User not abiding by 5.6 above  will be excluded from the Site & Mobile Application.

6. General

6.1.Governing Law and Jurisdiction

6.1.1 These terms of use are governed by and construed in accordance with the laws of England.

6.1.2 The courts of England have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these terms of use  or their subject matter  (including non-contractual disputes or claims).

6.2.Severability

6.2.1 If any provision (or part of a provision) in these terms of use is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions in these terms shall remain in force.

6.2.2 If any invalid, unenforceable or illegal provision in these terms of use would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of the parties.

7. Definitions

7.1 Class, Classes: means a language class of a minimum of sixty minutes, delivered via a video call service chosen by the Student and the Teacher.

7.2 Mobile Application: means the IOS and Android Olalang Mobile Applications.

7.3 Olalang: the company Olalang Ltd and its Site and Mobile Application.

7.4 Olalang Blackboard, Olalang Blackboards: means an editable support for Teachers and Student to exchange and compare notes.

7.5 Quality Seal: means a label that reflects the high value and experience of a Teacher.

7.6 Registered User: a person who has completed registration; providing their name, gender, birthdate, country of residence, city of residence, timezone, contact email, preferred video call service, and phone number and setting up a password and agreeing to this Site usage policy.

7.7 Site: means the website on the domain www.Olalang.com.

7.8 Student, Students: means a User registered to take Classes on the Olalang Site and Mobile Application.

7.9 Student Pack: means a package of four Classes that the Student can take over a maximum period of sixty days.

7.10 Teacher, Teachers: a User who is offering educational services on the Site or applying to do so. A Teacher can be referred to as Teacher on the Site and Mobile Application.

7.11 Teacher Pack: means a package of four Classes that the Teacher commits to give over a maximum period of sixty days.

7.12 User, Users: any person who uses the Site.

Terms of Booking (“Booking Terms”)

1. Introduction

These Booking Terms  apply to the Student and Teacher who have been brought together through the Site and cover all teaching activities between the Student and Teacher thereafter .

Olalang is responsible for its own actions only and takes no responsibility for the actions of the Student or the Teacher.

2. Minimum System Requirements

2.1 Usage of Olalang Site

The requirements for video calls are but are not limited to:

Internet Browser

Make sure you are using the latest version of Chrome or FireFox.

Bandwidth requirements

Make sure you use a standard broadband modem and not a mobile modem since it will not allow you to do the video chat.

Please check your connection before starting your online lesson.

Below are the Internet download speed recommendations per stream:

Your minimum bandwidth speed should be of 10.0 Mbps (Megabits per second) - Recommended for HD quality. If in doubt, please run a bandwidth test at http://speedtest.net.

The User should be aware that the use of the App and WebSite may impact your data usage or the charges to which you are subject under your mobile phone contract.

Camera

Before making a video call, we recommend that you check that your webcam is working correctly.

Hardware

Your computer will also need to meet the following hardware requirements:

CPU: 1 GHz (Minimum) , At least 1.8 GHz (Recommended)

Graphics Card: 32MB (Minimum), At least 64 MB (Recommended)

Memory: 256 MB, At least 512 MP (Recommended)

2.2 Usage of Olalang Mobile Application

The requirements for calls or video calls are but are not limited to:

3. Booking Terms

On using the Site or Mobile Application to book a Class with a Teacher, the Student creates an agreement with the Teacher to provide a Class by call or video call.

3.1 Students who are registered with Olalang may book Classes on the Site.

3.2 Students are advised that a Class cannot be booked less than two hours and thirty minutes before its due start time.

3.3 Students will be required to find a Teacher on the Site and  pick an available time slot in that Teacher's calendar. Both the Student and the Teacher will then receive notification of the pending Class via email and via a notification in their respective dashboard page. One email and mobile notification will be sent forty-eight hours before the Class start time and another email or mobile notification will be sent two hours before the Class start time.

3.4 Both the Teacher and the Student will then have to confirm the Class within a period of up to forty-eight hours before the start of the Class. During this time, the selected time slot will be reserved in the Teacher's calendar.

3.5 While the Class is not validated, it will be shown as Pending in both the Student and Teacher Dashboard page. If the Class is confirmed by both the Student and the Teacher during that period, it will be considered as a Booked Class.

3.6 A Booking creates an agreement between the Teacher and the Student for the Teacher to provide and for the Student to attend a Class at the time unless it is cancelled in accordance with section 4 and subject to the other terms set out in these Booking Terms.

3.7 The Student and Teacher agree to use Olalang and the Site and or Mobile Application for all future teaching activities  between them.

3.8 The minimum bandwidth download speed in order for both the Teacher and the Student to do an online tutoring Class must be of 10.0 Mbps (Megabits per second) and above. Both the Teacher and the Student will need to do a broadband speed verification and indicate their bandwidth download speed on the Blackboard before the start of each Class.

3.9 Classes will not be reimbursed if either the Teacher or the Student or both failed to match the bandwidth speed requirements stated in 3.8.

4. Cancellation

A Booking may be cancelled on the Site, terminating the agreement to provide a Class made between Student and Teacher. Both parties will be emailed immediately by Olalang.

4.1 Cancellation Policy for Students

4.1.1 A Student can cancel a Booking on the Site up to two hours before the Class starts. The Teacher will be notified on the Olalang dashboard page and emailed immediately by Olalang.

4.1.2 Cancellations on the Site or on the Mobile Application made at least  two hours before the class start time will receive a full refund.

4.1.3 Cancellations on the Site or on the Mobile Application made less than two hours before the Class start time will not be refunded.

4.1.4 If a Student does not show up for a booked class, the class will not be refunded.

4.1.5 Cancelled slots are immediately available and can be booked up to two hours and thirty before the Class start time.

4.2 Cancellation Policy for Teachers

4.2.1 The Teacher may cancel a Class on the Site giving reasons to the Student, if the Teacher is unable to make the time. The Student will be emailed or notified immediately.

4.2.2 In the event of a Teacher cancelling a Class the Student will not be charged and the Class will not be deducted from the Student Pack that has been purchased.

4.2.3 Cancelling by phone conversation or SMS with the Teacher will not constitute  an effective cancellation of the Class since Olalang may not be aware of it, or able to verify that it was made in the event of a dispute.

4.2.4 Classes cannot be cancelled after they have started.

4.2.5 If a Teacher cancels three Classes or more less than two hours before their start time, Olalang reserves the right to exclude the Teacher from the Site and Mobile Application.

4.2.6 If a Teacher does not show up for a booked class, the class will not be charged.  

4.2.7 If a Teacher does not show up up to the amount of three Classes, Olalang reserves the right to exclude the Teacher from the Site and Mobile Application.

5. Payment Terms

5.1 Payment is made by the Student to Olalang when the Student purchases a Student Pack on the Site or Mobile Application.

5.2 When purchasing a Student Pack, the User will pay Olalang in full via Paypal or any alternative payment method detailed on the Site and Mobile Application.

5.3 Olalang is not responsible for payment processing although it will endeavour to assist with communication and dispute resolution if necessary.

5.4  Olalang do not store customer credit card details.

5.5  By opting in for Automatic Renewal, the User authorizes Olalang on an automatic basis to renew the Pack that the User has selected and charge the applicable fee to the Paypal Account, Credit/Debit Card of the User.

5.6 Automatic Renewals will be processed instantly once the Pack that the User has selected has expired. If the User do not wish to proceed with an Automatic Renewal, the User must opt out by selecting the “Disable Automatic Renewal” option in the Profile Settings.

5.7 A Class will be deemed to have taken place satisfactorily  as agreed if neither the Teacher nor the Student  raises an issue within 48 hours of the end of the Booking.

5.8 Teachers will normally be paid by Olalang within thirty working days after the fourth Class of the Teacher Pack has been completed.

5.9 Details of Bookings and payments are available from the “Edit Profile Settings” tab of the User’s Dashboard page.

5.10 Students can use promotional vouchers on the Site or Mobile Application however these Booking Terms continue to apply in all other respects.

5.11 Students that use promotional vouchers on the Site or Mobile Application and cancel a Class will not receive any refund.

6. Student Responsibilities

6.1 The Student is responsible for complying with the Terms of Use which they agreed on registration and, in particular must:

6.2 Be of legal age, and be in a capacity to agree to these Booking Terms.

6.3 Provide accurate, current and complete information about themselves.

6.4 Maintain the security of their password and identification.

6.5 The Student commits to take a minimum of four Classes within a maximum of sixty days.

6.6 The Student needs to make sure to have sufficient credits available in the Student Pack in order to book a Class.

6.7 The Student needs to make sure to book a Class a minimum of fours hours before its start time.

6.8 The Student needs to make sure the Booking includes full  contact information and that they have given sufficient details to enable  the Teacher to prepare the Class.

6.9 The Student is responsible for making sure to use a broadband connection of 10Mbs (10 Megabits per second) or above for each Class.

6.10 The Student is responsible for making sure that they are available at the video call service given at the class time, and have made suitable arrangements for a Class to take place.

6.11 If the Class does not happen, the Student is responsible for informing Olalang within 48 hours and raising an Issue.

The Issue will be investigated and during such investigation  the Class will not be deducted from the Student Pack that the Student has purchased. It will only be deducted if the Class did not happen as a result of actions or omissions by the Student.

6.12 Students are responsible for evaluating a Teacher and ensuring that the Teacher is suitably knowledgeable and qualified to work with them.

6.13 The Student shall not disintermediate Olalang and agrees to use Olalang and its Site or Mobile Application to book any and all Classes with the Teacher.

6.14 The Student accepts that Olalang is responsible for promoting the Teacher’s advertised availability and providing communication & payment under these booking Terms but is not responsible for the Teacher’s conduct or ability or qualifications to teach.

6.15 The Student accepts  that the Teacher is engaged to provide language tuition by a Class and not to deal with any other matter or complete other tasks on behalf of the Student.

7. Teacher Responsibilities

7.1 The Teacher commits to give a minimum of four Classes within a maximum of sixty days.

7.2 The Teacher is responsible for keeping their diary of availability as up to date as practicable.

7.3 Teachers are entitled to decline a Class up to two hours before its proposed start time.

7.4 Teachers are solely responsible for the content of their Classes.

7.5 Teachers are advised to provide Students with all the content and material that they consider necessary for the Class in the Olalang Blackboards. Any material the Teacher transmits to the Student is considered non-confidential and non-proprietary. Olalang will have no obligations with respect to such material, except for information that identifies the Teacher personally, which is protected by Olalang’s Privacy Policy.

7.6  The Teacher is responsible for making sure to use a broadband connection of 10Mbs (10 Megabits per second) or above for each Class.

7.7 The Teacher is responsible for  ensuring they are able to meet their obligations with regard to Bookings and meet the Student by video call on time and fully prepared for the Classes.

7.8 The Teacher accepts that they are responsible for their personal and professional behaviour on and off the Website and during Classes and as regards any other interaction with Users.

7.9 The Teacher agrees to behave in accordance with generally applicable standards of professional behaviour and to comply with the Olalang Teacher Terms.

7.10 The Teacher is responsible for raising an Issue with Olalang if the Student is not present at the video call service at the Booked Class time, if the arrangements for the Class are not suitable, or where there is any other behaviour that is inappropriate. Issues should be raised as soon as practicable, and not later than 24 hours after the Class time.

8. Olalang Responsibilities

Olalang shall:

8.1 Provide the Site and Mobile Application which allows Students to find Teachers who are native speakers and can provide a language Class.

8.2 Use reasonable steps to verify the identity of the Teachers via a dedicated Teacher questionnaire.

8.3 Arrange the collection of the funds when Student Packs are made.

8.4 Immediately communicate pending, confirmed Bookings and Cancellations to the Student and Teacher via email or mobile notification.

8.5 Pay the Teacher within 30 working days of the occurrence of the fourth Class from a Student Pack provided no Issue has been raised by the Student in respect to all of those four Classes.

9. Further Purchases

9.1 The Student and Teacher confirm they will in no way try to undercut, transact independently or otherwise disintermediate Olalang. Such behaviour will be apparent  to Olalang and will result in the Student being required to pay fees on all independent bookings with the possibility of being blacklisted from future Site or Mobile Application use. Similarly the Teacher may be blacklisted from future Site or Mobile Application access and use.

9.2 Further purchases of lessons between a Student and a Teacher who were introduced through the Site or Mobile Application by Olalang are subject to these Booking Terms  and the Users are jointly liable for any commissions due to Olalang (and VAT thereon) that have been avoided by not booking through Olalang.

10. Liabilities

10.1 Olalang’s liability to a Student is limited to foreseeable loss or damage arising directly out of our own breaches of these Booking Terms, our  negligence or wilful misconduct up to a maximum of the amount of any fees that Student has paid to us in the 12 months immediately preceding the date on which the Student’s cause of action, if any, arose.

10.2 Olalang’s liability to a Teacher shall be limited to the amount we have agreed to pay that Teacher pursuant to paragraph 5.7.

10.3 Olalang shall not be liable for any loss or damage arising from either any error or inaccuracy in statements made on the Site by any User and whether  Student or Teacher about themselves (including any details of qualifications posted by them)  or any negligence, breach of contract, misrepresentation or wilful misconduct connected to the use of the Site or the sale of educational services by any User.

10.4 Olalang shall not be liable for any indirect, special or consequential loss or damage arising out of or in consequence of lost data, lost profits, damage to goodwill or business interruption, any delay or failure to perform our own obligations (whether under these booking Terms or the Site Terms of Use)  due to circumstances beyond our own reasonable control.

10.5 Olalang shall not be liable for any copyright claim regarding the content used by the Teacher during the Class.

10.6 Teachers are not employees of Olalang and are responsible for their own conduct and behaviour both on and off the Site and Mobile Application. In no circumstances will Olalang be  responsible for the conduct and behaviour of Teachers or Students whether on or off the Site and Mobile Application.

11. General

12. Definitions

12.1 Automatic renewal: means the automatic renewal of the Pack selected by the User once it has expired. Automatic Renewals will be processed instantly once the Pack that the User has selected has expired. If the User does not wish to proceed with an Automatic Renewal, the User must opt out by selecting the “Disable Automatic Renewal” option in the Profile Settings.

12.2 Booking, Bookings, Booked Class: a language class that has been booked in accordance with paragraph 3 above.

12.3 Cancellation: a booked class that has been validly cancelled in accordance with paragraph 3 above.

12.4 Class, Classes: means a language class of a minimum of sixty minutes, delivered via a video call service chosen by the Student and the Teacher.

12.5 Issue: a problem with the satisfactory provision of a Class as agreed in a Booking raised by either Teacher or Student to Olalang.

12.6 Mobile Application: means the IOS and Android Olalang Mobile Applications.

12.7 Olalang: the company Olalang Ltd and its Site and Mobile Application.

12.8 Olalang Blackboard, Olalang Blackboards: means an editable support for Teachers and Student to exchange and compare notes.

12.9 Olalang Teacher Terms: terms of usage of the Olalang Site and Mobile Application for Teachers.

12.10 Profile Settings: means the section on the Olalang Site and Mobile Application where the User can update his or her personal information.

12.11 Registered User: a person who has completed registration; providing their name, gender, birthdate, country of residence, city of residence, timezone, contact email, preferred video call service, and phone number and setting up a password and agreeing to this Site usage policy.

12.13 Student, Students: means a User registered to take Classes on the Olalang Site and Mobile Application.

12.14 Student Pack: means a package of four Classes that the Student can take over a maximum period of sixty days.

12.15 Teacher, Teachers: a User who is offering educational services on the Site or applying to do so. A Teacher can be referred to as Teacher on the Site and Mobile Application.

12.16 Teacher Pack: means a package of four Classes that the Teacher commits to give over a maximum period of sixty days.

12.17 Terms of Use: the terms on which Users may use the Site and Mobile Application, agreed by the Users on registration as may be amended from time to time.

12.18 User, Users: any person who uses the Site.
